Press release: Sedo AdLINK raises shareholding in Sedo to 76%

Montabaur, November 20, 2006. After raising its stake in French affiliate marketer CibleClick from 75% to 100% on October 20, 2006, AdLINK today raised its shareholding in Sedo GmbH, Cologne, from 52.14% to 75.94%. The purchase price of around € 35 million was financed through borrowing. Sedo’s founders will remain significant shareholders and continue to manage the company.

In addition to the acquisition contracts, a profit transfer agreement between AdLINK and Sedo was also concluded, which will become effective on January 1, 2007. “The profit transfer agreement will enable us to utilize existing AdLINK loss carryforwards more quickly,” says Guy Challen, CFO of . “The capitalization of tax loss carryforwards will lead to an improvement in earnings per share (EPS) in 2006. We now expect EPS to reach approx. € 0.45, compared with our previous forecast of around € 0.30.”

With over 5.6 million domains for sale – of which over 2.1 million are available for marketing – Sedo is a global leader in the domain marketing sector. Sedo serves customers from over 200 countries at its facilities in Cologne, Germany, and Boston, USA. Particular emphasis has been placed in the last few months on expanding business in the USA, the world’s largest online advertising market. According to figures from “Webhosting.info”, Sedo has experienced above-average growth in the USA and is currently the market leader with a share of almost 20%.

“We are very pleased to be heading the leading domain marketing segment with Sedo and in particular to be generating such excitement in the world’s biggest and most important online advertising market, the USA. It was only logical for us to raise our shareholding in order to benefit even more strongly from this growth market,” says Stéphane Cordier, CEO of .

“We are already among the top companies in the USA. We now want to emerge from the forthcoming consolidation stage as the leading company. We therefore expressly welcome the commitment of AdLINK’s management team to our business model and growth strategy. Even after AdLINK’s share acquisition, all Sedo’s founders will remain on board as shareholders and leading managers. Together with AdLINK, we will attempt to firmly establish Sedo as a leading company in the domain marketing segment,” says Tim Schumacher, CEO of Sedo GmbH.
